Commercial relationships progressively require more prevention or direct legal action to solve recurring issues between consumers and service providers.

For this reason, GNL acts both preventively and in litigation. We conduct lawsuits involving consumer complaints in general, including damages, compensation, redresses or contract review and renegotiations, among others.

We also litigate in administrative proceedings with the competent agencies arising from violations and rulings in such proceedings.

Our Business Contracts department is dedicated to the drafting, review and negotiation of contracts for our clients, in addition to providing consulting in the many negotiations of business and financial contracts.

We provide consulting and legal assistance on public biddings and government contracts in general to support businesses related to Administrative Law such as consortia and public-private partnerships (PPPs).

Our team also works with litigation law, which involves the public authorities, such as challenges to public notices, appeals and others.

Our Real Estate Law department actions are linked both to real estate developers and to large business groups. We offer advisory on the acquisition and leasing of properties, incorporations and implementation of subdivisions, mortgages and other security interests. The scope of our legal advisory is threefold:

Cases based on consumer relations: advisory on lawsuits or administrative proceedings based on consumer relations in the context of real estate developments and land subdivision.

Real estate litigation: legal services in proceedings related to real estate, such as adverse possession eviction, expropriation and easement suits, among others.

Strategic real estate consulting: preventive or remedial legal advisory, on an ongoing basis, for any and all legal issues related to common issues of real estate companies. We work on drafting and reviewing contracts, advising on negotiations, due diligences, real estate developments, drafting legal opinions, conducting lawsuits and administrative proceedings involving strategic issues. The department is responsible for advising and conducting corporate demands that range from the incorporation and alteration of companies and opening of branches to complex corporate operations, such as primary funding of investments, asset restructuring and succession planning.

Working together with our Tax Law department, we seek to implement these operations with maximum tax efficiency and with the least possible interference in the operational activities of our clients.

We perform our actions in tandem with the clients, increasing their business potential and, consequently, their results through the law.

Our team’s multidisciplinary training and qualifications provide a broader vision and positioning rather than the purely legal approach.

The department also operates in Mergers and Acquisitions (M&A) operations.

In addition to preparing and structuring all documents related to these operations (memoranda of understanding, share purchase and sale agreements, shareholders’ agreement, etc.), we actively participate in their negotiation, including in aspects that go beyond the legal aspects.

In GNL, the Labor department focuses on caring for the client’s business. This value has been in the essence of the firm since its beginning.

To litigate in labor suits, GNL was structured to offer custom care for each client. We conduct multiple actions, representing both plaintiff and defendant preventively and in the solution of existing issues. We litigate in tandem with the client’s HR, Board of Directors and in connection with the Labor Prosecution Office, among others.

Answers to Notices of Infraction, Legal Opinions and Due Diligences, including for M&A’s, are also included in our services.

In addition to legal technique, we believe in a data-oriented approach, to support the client’s decisionmaking regarding recurring problems, as well as more assertively predicting liabilities.

Tax Consulting:

Tax consulting involves the full range of services inherent to Tax Law, such as domestic and international tax planning, analysis and application of tax treaties against double taxation, succession and individual wealth planning, analysis of corporate tax regimes, structuring of real estate investments through the use of investment funds, structuring of foreign investments, obtaining special tax regimes, obtaining federal and state tax benefits, tax diagnoses and withdrawal of social security and tax credits, advisory in relation to taxation in the financial and capital markets, and structuring and monitoring of M&A transactions.

Tax Litigation:

Tax litigation has a team specialized in monitoring tax inspections, with a strong presence in the Administrative Council of Tax Appeals (CARF) and in federal, regional and higher courts, ensuring premium grade monitoring of cases. Additionally, we have a relevant presence in Brasília, monitoring the “leading cases” of the Brazilian Supreme Court, in addition to a network of correspondents throughout Brazil.

Our firm offers specialized advisory in Environmental and Urban Law, which ranges from preventive consulting, from drafting of legal opinions to monitoring licensing and authorizing acts issued by all entities of the federation.

In addition, GNL is constantly performing administrative work with environmental agencies and in the evidence production and follow-up stages of civil inquiries, advising and intermediating Consent Decrees, as well as in the defense of public interest civil actions, or environmental criminal suits.

We also offer legal advisory for prior analysis of environmental risks (due diligence) to mitigate negotiation risks and lead to a successful venture.

Our Mining Law department has extensive experience in advising limestone mining companies, and with the peculiarities related to the typical karst terrain.

Our team drafts legal opinions, participates in negotiations involving companies, surface-right owners, or regulatory agencies, and in mining litigation and administrative proceedings.

Our Successions department aims to provide legal support to our clients when creating succession plannings, donations, as well as carrying out judicial and extrajudicial probate proceedings and advising the drafting of wills.

Our team is prepared to organize family holding companies and deal with all related issues, especially ITCD tax in all states of the country. Faced with the uncertainties our legal system presents, we always aim for the prior structuring of estate succession to reduce costs and family litigation.
